By accessing or using AuthRx's prior authorization platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.
These Terms constitute a legally binding agreement between you (either an individual or an entity) and AuthRx. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
AuthRx provides an AI-powered platform for automating and managing prior authorization requests in healthcare. Our Services include:
- Automated prior authorization request processing
- Electronic Health Record (EHR) integrations
- Real-time status tracking and notifications
- Analytics and reporting tools
- API access for custom integrations
- Customer support and training
3. Account Registration and Security
3.1 Account Creation
To use our Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You agree to:
- Use strong passwords and enable multi-factor authentication
- Notify us immediately of any unauthorized access
- Not share your account credentials with unauthorized users
- Ensure all users in your organization comply with these Terms
3.3 Account Termination
We reserve the right to suspend or terminate your account for violations of these Terms, non-payment, or fraudulent activity.
4. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services
- Use the Services for unauthorized commercial purposes
- Submit false or fraudulent authorization requests
- Reverse engineer, decompile, or disassemble our software
5. HIPAA Compliance and PHI
5.1 Business Associate Agreement
If you are a Covered Entity under HIPAA, our use and disclosure of Protected Health Information (PHI) is governed by our Business Associate Agreement (BAA), which is incorporated into these Terms.
5.2 Your Responsibilities
You are responsible for:
- Obtaining necessary patient authorizations
- Ensuring data accuracy and completeness
- Complying with all HIPAA requirements
- Training your staff on proper PHI handling
6. Fees and Payment
6.1 Subscription Fees
You agree to pay all fees associated with your selected subscription plan. Fees are billed in advance on a monthly or annual basis.
6.2 Payment Terms
- Payment is due upon invoice receipt
- Late payments may incur interest charges
- Failure to pay may result in service suspension
- All fees are non-refundable except as required by law
6.3 Fee Changes
We may change our fees with 30 days' notice. Continued use of the Services after fee changes constitutes acceptance.
7. Intellectual Property
7.1 Our Rights
AuthRx retains all rights, title, and interest in our Services, including all software, algorithms, trademarks, and proprietary technology. These Terms do not grant you any ownership rights.
7.2 Your Data
You retain ownership of all data you submit to our Services. You grant us a limited license to use your data solely to provide and improve our Services.
7.3 Feedback
If you provide feedback or suggestions, we may use them without compensation or obligation to you.
8. Warranties and Disclaimers
8.1 Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with advance notice when possible.
8.2 Disclaimer
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.3 Medical Advice
AuthRx does not provide medical advice. Our Services are administrative tools only. All medical decisions remain the responsibility of healthcare providers.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHRX SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages exceeding the fees paid in the 12 months preceding the claim
- Third-party actions or decisions based on our Services
10. Indemnification
You agree to indemnify and hold AuthRx harmless from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Your infringement of third-party rights
- Unauthorized use of your account
11. Term and Termination
11.1 Term
These Terms remain in effect while you use our Services.
11.2 Termination by You
You may terminate your account at any time through your account settings or by contacting us.
11.3 Termination by Us
We may terminate your access for violations of these Terms, non-payment, or at our discretion with 30 days' notice.
11.4 Effect of Termination
Upon termination, your access will cease, and we will retain your data according to our Privacy Policy and legal requirements.
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
12.2 Arbitration
Any disputes shall be resolved through binding arbitration in San Francisco, California, except where prohibited by law.
12.3 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class actions.
13. General Provisions
13.1 Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use constitutes acceptance.
13.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
13.3 Entire Agreement
These Terms, along with our Privacy Policy and BAA, constitute the entire agreement between you and AuthRx.
13.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations at any time.
